[摘 要]了解国际贸易术语解释规则的修订历程和及时掌握国际贸易术语解释通则的最新变化，对外贸企业进行国际贸易合同条款磋商和签订进出口合同至关重要。通过梳理国际商会（ICC）对国际贸易术语解释规则的历次更新修改，并对最新颁布和生效的《2020年国际贸易术语解释通则》的实质性变化的探讨，指出外贸企业在签订贸易合同时如何正确选择和使用恰当的贸易术语所应关注的事项，以避免贸易纠纷，有效控制风险。

Abstract： The rules of International commercial terms （Incoterm） are vital for negotiating  relative articles and conforming export and import contact ，so the trade enterprises should understand the revision process of Incoterms and know the latest changes. This paper reviews the previous updates and revisions of the rules of Incoterms by the International Chamber of Commerce （ICC）， discusses the main changes of the Incoterms?2020，and gives some suggestion to  enterprises that should be cautious with trade terms in signing commercial contacts to avoid disputes and some risks.In this paper， introducing the previous updates and revisions of the rules of incoterms by the International Chamber of Commerce（ICC）， some suggestion are given  to enterprises that should be cautious with trade terms， discussing main changes of the incoterms 2020， in signing commercial contacts to avoid disputes and some risks.

《国际贸易术语解释通则》（Incoterms? rules）是一套由国际商会（ICC）制定的用于规范国际贸易术语使用的国际规则，旨在便利全球贸易活动，避免世界各地贸易商之间不同做法和不同法律解释对国际贸易的阻碍，目前在全球使用范围广泛。该规则于1936年制定，此后历经多次更新以适应国际贸易实践领域发生的新变化。2019年9月ICC官方正式对外发布了新版《国际贸易术语解释通则2020》（Incoterms?2020）。这是现行《国际贸易术语解释通则》自2010年生效以来进行的第一次修订。新修订的《国际贸易术语解释通则》自2020年1月1日起正式实施。Incoterms?2020在2010版本的基础上更进一步明确了买卖双方的责任，其生效后对贸易实务、国际结算和贸易融资实务等方面都将产生重要的影响，为下一个世纪的全球贸易做好准备。
