【摘 要】 企业合同能否依法订立并全面履行，直接关系到企业行为的法律评价和企业经营活动的成败。加强企业合同风险防控管理，有利于企业依法订立并履行合同，提高合同履约率，减少和避免合同纠纷。本文从企业合同风险的表现形式、企业合同风险成因及加强企业合同风险防控管理的主要措施三个方面，对企业合同防控管理进行一些探讨。

Abstract：enterprise contracts concluded in accordance with the law and can fully perform, relates directly to the enterprise behavior legal evaluation and business activities of the success or failure of. Strengthening the enterprise contract risk control management, help enterprises to enter into and execute the contract, to improve the rate of contract performance, reduce and avoid the contract dispute. This article from the enterprise contract risk's manifestation, enterprise contract risk and strengthening contract risk control main measures of management in three aspects of enterprise contract management, prevention and control are discussed.

合同风险是指在合同订立、生效、履行、变更、终止及違约责任的确定过程中，合同当事人一方或双方利益损害或损失的可能性。企业加强合同风险防控管理，建立并完善合同风险管理机制,有助于企业依法管理、依法经营，有助于提高企业参与国内外市场竞争的能力，为企业不断发展和壮大提供巨大的推动力。

一、企业合同风险的表现形式

企业合同风险主要表现在以下几个方面：

（一）合同主体风险。我国法律对不同行业的企业主体资格有不同的要求，对大多数普通行业企业来说，除了要求取得营业执照外并无其他特殊规定；但对从事金融、保险、矿山开采、建筑施工、危险化学品等各种特殊行业的企业，则要求企业在取得营业执照之前或经营相关业务之前，取得特殊行业批准证书或资质证书。合同主体合法是企业签订合同的前提条件，否则会导致合同无效或被撤销，企业势必会因此遭受一定的损失。
