摘  要：对于现代治理架构下的企业来说，董事会是最高权力机构，公司的各种投资决策、经营决策都需在董事会裁决后才得以实施，因此，董事会与企业绩效两者间有着密切关系。而盈余波动性，指企业利润状况升降变化规律，它跟企业绩效息息相关。由此可以看出，董事会特征和盈余波动性这两个不同概念，其表象并不存在关联，而其实质却存在着正相关性。文章以我国物流业为研究对象，通过调取2015～2019年的财务数据并对其进行分析后发现，独立董事比例和盈余波动性存在着非常明显的正相关。

Abstract： For enterprises under the modern governance structure， the board of directors is the highest authority. All kinds of investment decisions and business decisions of the company must be implemented by the board of directors. Therefore， there is a close relationship between the board of directors and enterprise performance. The surplus volatility， which is closely related to enterprise performance， refers to the law of the rise and fall of enterprise profit. It can be seen that the two different concepts of board characteristics and earnings volatility are not related in appearance， but are positively related in essence. This paper takes China's logistics industry as the research object， and analyzes the financial data from 2015 to 2019. It is found that there is a very obvious positive correlation between the proportion of independent directors and earnings volatility.

随着第三方物流的进步，分析研究物流行业上市公司董事会特征对盈余波动性的影响情况，具有重要的意义。公司规模不断的发展壮大，公司两权倾向于分离的状态，这会给公司带来利益冲突，导致公司股东与管理人员发生矛盾，在一定程度上，董事会在公司治理结构方面发挥的作用会影响公司盈余质量及利益相关者的关系。在某种意义上，如果一个公司的董事会能够发挥好其监管职能以及提出及时有效的决策，那么有利于公司处理相应的业务问题，从而稳定了公司绩效，优化了盈余。董事会在公司治理结构中扮演着重要的角色，董事会不仅是监督者也是决策者，监督着管理人员，避免出现不良行为;同时对公司重大事务，提出建议，做出及时有效的决策，避免公司业务失败。……
