摘  要：企业的生产合同评审往往是项目管理中的薄弱环节，尤其是科技型企业自身涉及新技术、新材料、新设备、新工艺等情况较多，管理者常会把关注点放在技术指标的实现上上，从而忽视合同评审的合规性和风险把控。本论文针对科技企业当前合同评审中常见的问题，如双方质量责任的明确、技术标准的协商、交付与付款的约定、安全环保与职业健康职责的落实等进行了梳理和分析，并提出了应对措施，有助于明确企业各类人员的评审职责，降低企业生产经营风险，实现高质量发展。

Research on the Problems and Countermeasures of the Evaluation of Production Contract in Science and

Technology Enterprises

Abstract： The evaluation of production contracts in enterprises is often a weak link in project management， especially in the case of scientific and technological enterprises themselves involving new technologies， new materials， new equipment， new processes， etc. ， managers often focus on the achievement of technical indicators， thus ignoring the contract review of compliance and risk control. This paper sorts out and analyzes the common problems in the current contract review of technology enterprises， such as： The clarification of quality responsibility of both parties， the negotiation of technical standards， the agreement of delivery and payment， the implementation of safety， environmental protection and occupational health responsibility， etc.， the corresponding measures are put forward， which is helpful to make clear the appraisal responsibility of all kinds of personnel， reduce the risk of production and operation， and realize high-quality development.

当前我国科技企业的合同管理水平普遍不高，可能存在着生产经营风险，甚至出现严重违约情况。分析其原因是多方面的，既有科技行业新研工作不可预见的自身属性，也有未按管理章程，严格执行合同评审的要求。科技行业实践表明，合同评审流于形式和忽视评审识别出的风险的处置，是一个重要因素。

合同评审是指在签订合同前，为了确保规定的质量、技术、进度要求和双方权利义务合理、明确且能够实现，由组织对生产能力和条件资源进行确认，识别生产过程中的不确定因素，避免因不確定性带来的风险而影响产品质量和交付节点的一项活动。科技企业两大质量体系，即《质量管理体系要求》GJB 9001C和《质量管理体系要求》ISO9001条款中，明确对合同性文件的评审提出了要求，即：组织应评审与产品有关的要求”，并且评审应在组织向顾客作出提供产品的承诺之前进行。……
