【摘 要】论文以挂牌企业数量、市值和行业分布三个指标对大陆新三板的发展概况进行统计分析，指出其目前存在的问题：流通性较差、板内企业质量有待提高、转板和退出机制不完善以及信息披露與监管问题，而后对其未来的发展给出建议：协议转让和做市转让并存式结合；建立合格投资者制度，提高挂牌企业质量；进一步完善转板和退市机制；加强信息披露，强化市场监管。

【Abstract】This paper analyzes the development status of the NEEQ market by using listed companies number， market value and industry distribution three indicators， points out its problems： poor liquidity， the quality of the enterprises within the board to be improved， the imperfect transfer and exit mechanism， the information disclosure and supervision issues. Then it gives suggestions to its future development： negotiating transfer combines with market making transfer； establishing qualified investor institution and improving the quality of listed companies； further completing the transfer and exit mechanism； strengthening information disclosure and market supervision.

1 引言

全国中小企业股份转让系统，又称新三板，它的诞生与发展为中小企业融资提供了一个直接通道，它的设立对于拓宽民间投资渠道，促进经济结构转型调整具有非常重要的意义。2013年12月14日，新三板正式扩容至全国，同时也拉开了其加速发展的序幕，但由于我国的场外市场起步较迟，新三板市场在现阶段的发展过程中仍存在着很多问题。

2 新三板的发展概况

本文以新三板挂牌企业的数量、市值和行业分布三个指标对新三板的发展概况进行了简要描述。

从企业的数量和市值上看，2006年新三板挂牌企业数量仅10家，市值只有24.4亿元。自2006至2013年间二者的增长幅度均较小，但从2013年开始二者大幅增长，并且增速也逐年提高，近似呈现指数型增长趋势。到2016年年底，挂牌企业数量突破10000家，市值高达40558.11亿元，这说明目前我国“新三板”市场正处于蓬勃发展时期。

从行业分布上来看，2016年在10163家新三板挂牌企业中，制造业企业数量多达5158家，占到50.75%，位列第一；……
