摘要 分析了农村宅基地复垦中土地用途转变后的土地资产专用性及城乡建设用地增减挂钩指标交易过程中的交易不确定性，建立了基于社会资本视角的宅基地复垦中政府和社会资本合作机制关键点的分析框架。结果表明，降低土地资产专用性以及城乡建设用地增减挂钩指标交易过程中的交易不确定性带来的交易费用是农村宅基地复垦中政府和社会资本合作机制的关键。

The Key Point of Public Private Partnership in Farmers Homesteads Reclamation Projects—The Case Study of Farmers Homesteads Reclamation Project in TS County

Abstract Based on the analysis of the uncertainty of the transaction in the process of land use change and the increase or decrease of urban and rural construction land in the reclamation of rural homestead， build an analysis framework of capital cooperation mechanism in public private partnership of homestead reclamation. It was the key to reduce the transaction cost of the transaction in public private partnership in the rural homestead reclamation.

2004年國务院提出投资体制改革，有效增加公共产品和服务供给的要求，十八大五中全会也提出了建立农业农村投入稳定增长机制，培育农业、水利工程多元化投资主体，引导和鼓励社会资本投向农村建设。国土资源部也提出，要积极探索“以补代投、以补促建”的土地整治实施机制，鼓励各方积极参与到土地整治中。例如，《国土资源部全国工商联关于进一步鼓励和引导民间资本投资国土资源领域的意见》（国土资发〔2012〕100号）明确提出，鼓励、支持和引导民间资本进入土地整治领域。近年来，浙江、山东、河南、湖南、江苏等地开展了农村宅基地土地整治复垦项目中引入社会资本的试点工作并取得一定的成效，但社会资本介入属于起步阶段[1-4]，仍需理论和实证研究探索政府和社会资本合作机制，探讨社会资本参与的动机与义务以及政府在合作中的责任与义务，以促进合作的有效开展。……
