摘要：日本《商法》中有关运输和海商部分的修改已于2018年5月获得通过，自2019年4月起施行。适用于国际海上货物运输的《国际海上货物运输法》也随着商法的修改作了修改，修改后的该法同样自2019年4月起施行。该文对新修改的这两部法律进行了翻译。日本商法曾对中国产生过巨大的影响，现在仍有很大的参考价值。研究此次修改的内容，必将对完善中国相关法律有所裨益。

Abstract：The sections on transport and maritime commerce in Japanese Commercial Code were adopted in May 2018 and come into force as of April 2019. The Act on International Carriage of Goods by Sea， which is applicable to the international carriage of goods by sea， was also amended and come into force as of April 2019. This article is a translation of these two newly-revised laws. Japanese commercial law had great influence on China and still has reference value. Studying the content of this amendment will be beneficial to the improvement of relevant laws in China.

现行的日本《商法》制定于1899年，有着120余年的历史。该商法典自制定以来，历经多次修改，尤其是近年有过数次较大幅度的修订，如，2005年将公司法部分（制定时的商法第二编）抽离并制定了单行的日本《公司法》，2008年将商行为编中的“保险”部分抽离并制定了日本《保险法》等。另一方面，随着民法、刑法、民事诉讼法和刑事诉讼法这些基本法现代化进程的推进，只遗留下了商法中以运输为核心内容的商行为法和海商法尚未被修改，因此大家意识到需要尽早实现对这一领域法律规范的现代化。该领域的法律多为任意性规定，虽然实务中不存在什么问题，但其毕竟是与现代实务需求存在脱节的19世纪的法律，因此，在上述对基本法进行修改的进程中，该领域的法律也终被列为了修改对象。

关于具体的修法工作和过程，首先是由法务省在经过一段时间的准备后，于2014年在该省设立了法制审议会的商法（有关运输/海商部分）分部;商法（有关运输/海商部分）分部在历时约2年的审议后制定并提交了修改法案;修改法案于2018年5月获得通过，自2019年4月起施行。……
