摘 要： 市场经营活动中，合同签订履行的规范与否，直接关系到市场主体经营的成效。合同签订履行中不能忽视对方履约能力、合同条款是否具全、与合同有关书面材料的保管、合同履行中对对方异议及时回复以及合同债权民事时效等问题。重视签订履行合同问题，不仅对合同法的学习研究有启示意义，而且对合同司法实践也有一定的指导作用。

Key Issues in Contracting and Its Implementation

Abstract: Valid contract and its proper implementation guarantee the interests of relevant market entities and the efficiency of their operational activities. Key issues in contracting and its implementation as the contractual capacity of the other party, the completeness of contract clauses, the intactness of contractual paper materials, the prompt response to the other party's dissent in the course of contractual implementation, and the civil prescription of contractual obligatory rights , have been given an in-depth discussion and illustration in this paper. It is believed to be instructive not only to the learning and researching of the Contract Law, but also to its juridical practice.

市场主体的经营活动要健康发展，强化法制、规范经营将是一个永恒的主题。然而，要让这一主题在社会主义市场经济这个大舞台上展现得绚丽多彩，实际地说，能否认真规范地签订、履行合同，将是一个至关重要的问题，这是因为改革开放和发展市场经济以来的实践告诉我们：市场经济就是法制经济，就是以合同（契约）经济的形式来表现的。市场经济的基础在于市场，而市场交换或市场经济的具体运作主要通过市场主体之间经过自由平等地协商所订立的合同（契约）来进行的，合同是市场的法律原型，在现代市场经济中合同成为经济交往的主要形式，通过合同的形式来建立经济关系和实现资源配置。而合同在市场经济中的作用必须以法律对合同原则方式和结果的确认和保护为前提。由此，契约不管是就其具体的表现形式还是就其实质，都可以认为是合同经济，所以，在市场经济条件下，市场主体经营活动的开展就是要在签订、履行合同上做文章。……
