摘 要：近年来，境外企业档案管理在商业模式、分工体系、法律环境和保管环境等方面面临着更加复杂多变的新形势，尤其是新冠肺炎疫情在全球范围内暴发以来，“区域化”“合规审查”“安保”“虚拟化”等成为我国境外企业档案管理研究离不开的热词。上述新形势更是带来了境外档案管控类型更加复杂、管理流程断裂、合规体系有待完善、监管系统较为薄弱等问题。针对上述问题，文章建议从明确境外文档管理的权限范围、建立双循环的境外档案发展圈、建立明确的境外档案法律风险体系、建立全面的境外档案工作监管体制等方面应对。

Research on the Problems and Countermeasures of EnterprisesOverseas Archives Management under the New Situation

Abstract： In recent years， overseas enterprise archives management has faced a more complex and changeable situation in terms of business model， division of labor， legal environment and custody environment， especially since the outbreak of the COVID-19 on a global scale. Regionalization， compliance audit， security and virtualization have become the buzz words that Chinese overseas buiness archives management cannot avoid. The above-mentioned situation has brought some related problems， including of more complicated types of overseas archives， the broken of the management process， the incomplete compliance system， and the relatively weak supervision system. In response to the above problems， it is recommended to take countermeasures in terms of clarifying the scope of authority for overseas archives management， establishing a dual-cycle overseas archives development circle， establishing a clear legal risk system for overseas archives， and establishing a comprehensive archival management system.

当今世界正经历百年未有之大变局，新冠肺炎疫情加剧了大变局的演变，国际环境日趋复杂，经济全球化遭遇逆流，一些国家单边主义、保护主义盛行，[1]我国在国际市场较为活跃的部分互联网或者通信服务公司在复杂多变的国际局势中受到了较大的冲击。在这样的背景下，我国境外企业档案管理引起了我国“出海”公司的关注，开始认识到完善的境外档案管理对于支撑企业在境外合法合规经营、保障公司境外资产价值的重要作用。然而，要想真正破除境外档案管理所面临的困境，需要对国际时局保持高度敏感性，需要注意到国际局势会深刻影响到境外企业档案管理所面临的环境。尤其是在近年比较动荡的国际环境下，有必要探讨新形势对境外档案管理形成的新挑战，研究推动境外企业档案工作形成更有现实价值和环境适应力的管理模式。……
