【摘  要】企业发展过程中构建科学完善的法务制度对于企业和市场经济发展来说都十分必要。市场经济是法治经济，随着社会主义市场经济的发展，在激烈竞争中企业法务制度的重要性日趋显现。企业法务制度作为现代企业制度的有机组成部分，建立和完善现代企业的法务制度，妥善应对和有效化解企业法律风险，对企业依法经营管理、长远发展具有重要意义。

【Abstract】It is very necessary for enterprises and market economy to construct scientific and perfect legal affairs system in the process of enterprise development. Market economy is an economy ruled by law. With the development of socialist market economy， the importance of enterprise legal affairs system is becoming more and more obvious in the fierce competition. The enterprise legal affairs system is an organic part of the modern enterprise system. It is of great significance to establish and perfect the legal affairs system of modern enterprises， and to properly deal with and effectively resolve the legal risks of enterprises for the legal management and long-term development of enterprises.

1 引言

企业从建立到终止，从企业的内部管理到参与市场竞争的過程中，每一刻都隐藏着法律风险，企业管理者如果缺乏法律意识，企业的声誉和财产将会受到损失，加强企业经营管理中法律风险的防范和控制，最大限度地提高企业的法律风险管理水平，能够提高企业的竞争力，实现企业效益的最大化。

2 建构企业法务制度的重要意义

2.1 提高企业依法经营管理能力的需要

市场经济的本质是法制经济，企业的经营活动需要依赖法律来进行调整和规范，国家对社会的管理主要是通过各种法律法规的约束来实现，企业在经营过程中需要遵守国家法律法规。企业在决策时熟悉法律规则或者遵守法律构造的行为规范，在经济活动中就能够避免法律制裁。在项目管理活动中存在风险时，由于不知道控制法律风险的最佳时机，导致合法权益损失，更重要的是，随着现代企业经济活动的复杂性，企业的可持续发展能力也会丧失。……
