【摘  要】近年来，市属国有企业改革重组愈演愈烈，而所有改革的主要目的无外乎是扩大资产规模、提升资源的配置效率、优化资产的结构等。而通过对外并购投资等一系列资本运作手段，可以在短期内为投资企业带来资产大规模的提升，但是很多情况下，投资的经济效益都有时间滞后性，由此导致市属国有投资公司的经营业绩很难在短期内释放出来。论文以市属国有投资公司为主要研究对象，对投资公司激励考核问题进行详细的分析，并针对该问题提出建议，望能够将投资标的的潜在收益与经营业绩考核相挂钩，提升市属国有投资公司在市场上的竞争力，以便做大做强公司规模。

【Abstract】In recent years， the reform and reorganization of municipal state-owned enterprises have become increasingly fierce， and the main purpose of all the reforms is to expand the scale of assets， improve the efficiency of resource allocation， optimize the structure of assets， etc. Through a series of capital operation means such as foreign M&A investment， it can bring a large-scale increase of assets for investment enterprises in the short term. However， in many cases， the economic benefits of investment have time lag， which makes it difficult for the operating performance of municipal state-owned investment enterprises to release in the short term. Taking the municipal state-owned investment enterprises as the main research object， this paper makes a detailed analysis of the incentive assessment of the investment enterprises， and puts forward some suggestions aiming at this problem， hoping to link the potential income of the investment object with the management performance appraisal， so as to enhance the competitiveness of municipal state-owned investment enterprises in the market， expand and strengthen the scale of the company.

1 引言

广州工控资本管理有限公司于2000年4月设立，实际控制人是广州市人民政府。2019年12月，广州工控资本管理有限公司的母公司广州钢铁集团有限公司与广州万宝集团有限公司、广州万力集团有限公司三家老牌市属国有企业进行重组，现阶段已共同组建了新的集团，即广州工业投资控股有限公司（以下简称“广州工控”）。

根据广州市国资委《关于整合制造业资源组建工业投资控股集團的工作方案》的精神及广州工控关于印发整合集团金融投资类资源组建广州工控资本管理有限公司工作方案的通知，为更好发挥广州工控产业优势，构建“1+1+N”发展布局，实现打造千亿级世界500强企业和国有资本投资公司标杆平台等发展目标，整合集团金融投资类资源，组建广州工控产业投资平台，即广州工控资本管理有限公司。……
