【摘  要】中国在经济贸易方面的日趋发展，使得国家在全球经济贸易中占有一席之地。国内企业为了扩大贸易市场，使企业实现从国内企业到国际企业的转变，实现企业经济利益最大化，其会选择进行跨国并购。跨国并购是实现外国资本与国内企业融合的最直接方式。但企业跨国并购存在极大的风险，由于风土人情、地域法律、人文历史的不同，国内企业很难得到被并购企业的全部掌控权。论文结合全球经济一体化的背景，对企业跨国并购的风险进行分析，并探究管理与防范企业跨国并购风险的措施。

【Abstract】China's increasing development in economic trade has given the country a place in the global economic trade. In order to expand the trade market， realize the transformation from domestic enterprises to international enterprises， and maximize the economic interests of enterprises， domestic enterprises will choose cross-border mergers and acquisitions. Cross-border mergers and acquisitions are the most direct way to realize the integration of foreign capital and domestic enterprises. However， there are great risks existing in cross-border mergers and acquisitions of enterprises. Due to the differences in local conditions， regional laws and cultural history， it is difficult for domestic enterprises to get all the control of the acquired enterprises. Combined with the background of global economic integration， this paper analyzes the risks of cross-border mergers and acquisitions in enterprises， and explores the measures to manage and prevent the risks of cross-border mergers and acquisitions in enterprises.

1 引言

伴随经济的迅速崛起和国家的日益强盛，GDP跃升全球第二位，中国的国际地位显著提高，然而中国企业的国际知名度与国家经济地位不匹配，企业“走出去”的重要性日益凸显。为提升公司品牌影响力和企业竞争力，许多企业选择进行跨国并购。跨国并购对国内企业的生存带来诸多好处。首先也最重要的是注入灵活的资金，促使资金周转方面不必太过胆怯或犹豫;其次是进行跨国并购后，国外的企业中原有的技术归国内企业所有，因此，在技术方面，非常容易推动技术的发展及进步，甚至于上升到产业的升级。
