建设工程合同在本质上与其他合同没有什么两样，都是一份协议Agreement，形成这份协议至少要经过要约Offer和承诺Acceptance两个阶段。无论如何，要约都是必经阶段。投标（或投标书）Tender就是要约的一种形式。

例1—“Tender”means the Letter of Tender and all other documents which the Contractor submitted with the Letter of Tender，as included in the Contract.（1.1.1.8）“Letter of Tender”means the document entitled letter of tender，which was completed by the Contractor and includes the signed offer to the Employer for the Works.（1.1.1.4）“Appendix to Tender”means the completed pages entitled appendix to tender which are appended to and form part of the Letter of Tender.（1.1.1.9）（Conditions of Contract for Construction，FIDIC，1999）。

试译：“投标书”是指投标函以及包含在本合同中由承包商连同投标函一起提交的所有其他文件。“投标函”是指名称为投标函的文件，它由承包商完成，且包含经签署并向业主提出的工程报价。“投标书附录”是指附在投标函后并构成投标函一部分的名称为投标函附录的文书。

例2—投标函：是指构成合同的由承包人填写并签署的用于投标的称为“投标函”的文件。（1.1.1.4）投标函附录：是指构成合同的附在投标函后的称为“投标函附录”的文件。（1.1.1.5）（《建设工程施工合同（示范文本）》（GF—2017—0201））

试译 ：“Letter of Tender”means the document entitled letter of tender as part of the Contract，which was completed and signed by the Contractor for the purpose of tender for the Works.“Appendix to Tender”means the documents entitled appendix to tender as part of the Contract which are appended to the Letter of Tender.

点评

1．要注意到，FIDIC Conditions of Contract for Construction中Letter of Tender和Appendix to Tender的定义，与中国《建设工程施工合同（示范文本）》中投标函、投标函的附录的定义并没有什么实质不同；只是后者没有特别定义投标或者投标书，前者对投标或者投标书tender的定义也只不过罗列了所有投标文件罢了。

2．我们在试译中一律把tender与“投标（投标书）”作为对等词汇看待的，到此为止，也许并没有什么疑问。但是，中国于2000年出台了一部《招标投标法》，有文献将这部法律的名称译成The Tendering and Bidding Law of the People’s Republic of China，还有译成 Law of the People’s Republic of China on Tenders and Bids的，甚至条文翻译将tenderer作为“招标人”对等词汇。两相对照，问题来了，tender到底是“招标”还是“投标”？还冒出了一个bid，则tender和bid到底是什么关系呢？

3．《牛津高阶英汉双解词词典》（OALD）对作动词用的tender这样解释“make an offer（to carry out work，supply goods，etc.）at a stated price投标”；对作名词用的tender这样解释“formal offer to supply goods or carry out work at a stated price投标”，并特别注明“also esp US bid”，也就是说，在美式英语中也即bid。OALD进一步举例：Firms were invited to tender for the construction of the new motorway.各公司应邀投标承建新高速公路。Put work out to tender，ie ask for such offers招标；put in/make/submit a tender for sth.参加某项投标；accept the lowest tender接受最低价格的投标。《牛津现代法律用语词典》将名词bid和tender列为同一个词条，指出—In AmE，both terms are used，whereas in BrE only the latter would appear，in sense of“a summited price at which one will perform work or supply goods.”也就是说，在“为承揽工作或提供货物而提交报价”（也就是投标）的意义上，bid和tender这两个词在美式英语中都使用，但在英式英语中一般只用tender。

4．我选择相信这两部词典的解释，tender和bid是同义词，都是“投标（出价）”的意思。这么说来，关于中国《招标投标法》名称的前述两个英译都不妥当；进而其有关招标、投标的章节名称、条款翻译均需改进。根据构词法，Tenderer是“投标人”的意思；而“招标人”则是tenderee。对中国《招标投标法》名称，我的英译是 ：Law of the People’s Republic of China on Invitation for and Submission of Tender。
